These Terms of Service ("Terms") govern access to and use of the Neuropredict platform (the "Service"), provided by Neuropredict Lab, S.L.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

2. Description of the Service

The Service is a software solution provided under a Software-as-a-Service (SaaS) model that enables users to access analytical tools based on artificial intelligence and machine learning.

The Service is provided as a technological support tool. It does not constitute professional advice, certification, or guaranteed outcomes.

3. Access and Availability

We grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes.

We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. Maintenance or updates may result in temporary interruptions.

4. User Responsibilities

You agree to:

• Use the Service in compliance with applicable laws
• Be responsible for all activity under your account
• Ensure your users comply with these Terms
• Not upload unlawful or infringing content
• Keep your login credentials secure

5. Restrictions

You may not:

• Copy, modify, or reverse engineer the Service
• Attempt to access underlying algorithms or models
• Use the Service to build competing products
• Allow unauthorized third-party access

6. Intellectual Property

All rights, title, and interest in the Service remain the exclusive property of Neuropredict Lab.

Use of the Service does not grant you ownership of the software, models, or underlying technology.

7. Data and Privacy

We process personal data in accordance with applicable data protection laws, including GDPR.

Our Privacy Policy explains how we collect and use personal data. If we process data on your behalf, our Data Processing Agreement (DPA) applies.

8. Confidentiality

Both parties agree to keep confidential any non-public information received in connection with the Service.

9. Liability

To the maximum extent permitted by law:

• We are only liable for direct damages caused by our breach
• We are not liable for indirect damages, lost profits, or business interruption
• Our total liability is limited to the fees paid in the previous 12 months

You are responsible for decisions made based on the Service outputs.

10. Term and Termination

These Terms apply for as long as you use the Service.

We may suspend or terminate access if you breach these Terms.

Upon termination, your right to use the Service ends immediately.

11. Modifications

We may update these Terms from time to time. Continued use of the Service constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by Spanish law. Any disputes shall be subject to the courts of Madrid, Spain.
